Merchant / Seller Agreement

1. Introduction

This Merchant Agreement governs the commercial relationship between MarketForge and Sellers who list and sell digital products on our Platform. This Agreement supplements the Terms of Service.

2. Seller Verification

To become a verified Seller, you must provide:

  • Government-issued photo ID
  • Proof of address
  • Business registration documents (if applicable)
  • Tax identification number
  • Bank account or payment processor details

Internet Transactions Act 2023 (Philippines): Philippine-based sellers may need additional documentation including DTI/SEC registration and Mayor's permit.

3. Commission Structure

* Payment processing fees (2.9% + $0.30) are pass-through costs from payment processors

4. Payout Schedule

  • Daily Payouts: Processed every business day (minimum $10)
  • Weekly Payouts: Processed every Monday (minimum $25)
  • Monthly Payouts: Processed on the 1st of each month (no minimum)

Bank transfer time: 2-7 business days. Reserves may be held for new sellers or high-risk categories (10-20% for 7-90 days).

5. Tax Responsibilities

You are responsible for:

  • All income taxes on your earnings
  • Sales tax/VAT on your products (where applicable)
  • Tax registration in jurisdictions where you have nexus
  • Accurate tax reporting and filing

Marketplace Facilitator: In certain jurisdictions, MarketForge may collect and remit sales tax/VAT on your behalf as required by law.

6. Refund and Dispute Policies

Your Obligations

  • Display a clear refund policy on your store
  • Honor refund requests according to your policy
  • Process refunds within 5-7 business days
  • Maintain reasonable refund rates (under 5% recommended)

Chargebacks

Chargeback fee: $15 per incident. Excessive chargebacks (over 1%) may trigger account review or suspension.

7. Prohibited Products

You may NOT sell:

  • Illegal or stolen content
  • Malware or malicious software
  • Content infringing intellectual property
  • Hate speech or discriminatory content
  • Adult or explicit content
  • Personal information databases
  • Academic dishonesty tools
  • Counterfeit goods

8. Performance Standards

We track seller metrics including:

  • Response time (under 24 hours target)
  • Refund rate (under 5% recommended)
  • Chargeback rate (under 1% required)
  • Product quality ratings (over 4.0 stars recommended)

Poor performance may result in reduced visibility, increased reserves, or account suspension.

9. Account Termination

We may suspend or terminate your account for violations of this Agreement, suspected fraud, excessive chargebacks, or failure to verify identity. Upon termination:

  • Store is permanently removed
  • Data export provided
  • Final payout processed (subject to holds)
  • Customer access maintained for 90 days
