End-User License Agreement (EULA)

1. Grant of License

MarketForge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes, including creating digital product stores and using AI-powered tools.

License Restrictions

You may NOT:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices
• Rent, lease, sell, or sublicense the Software
• Use the Software for unlawful purposes
• Circumvent technical limitations or access controls
• Use the Software to develop competing products
• Extract or scrape data in violation of our Terms

2. Intellectual Property Rights

Platform Ownership

MarketForge and its licensors own all rights to the Software, including source code, UI designs, AI models, algorithms, documentation, and trademarks. These are protected by copyright, trade secret, patent, and trademark laws.

Your Content

You retain ownership of your digital products and content. You grant MarketForge a non-exclusive, worldwide, royalty-free license to host and display your content on the Platform. This license terminates when you remove content.

AI-Generated Content

Content generated by our AI Store Architect is licensed to you for use on the Platform. You may NOT resell or redistribute AI-generated designs as templates. We retain rights to underlying AI models.

3. Prohibited Uses and Reverse Engineering

You expressly agree NOT to:

• Decompile the Software to source code
• Reverse engineer algorithms or methods
• Disassemble or derive source code
• Probe, scan, or test vulnerabilities
• Breach security or authentication measures
• Access non-public APIs or endpoints

Exception: Where prohibited by law (e.g., EU Software Directive Article 6) or with our express written permission.

Security Researchers: Please report vulnerabilities responsibly to security@marketforge.app. We offer a Bug Bounty Program.

4. Software Updates and Maintenance

MarketForge may release updates, patches, and new versions at any time. Updates may be deployed automatically. We may modify features or functionality with reasonable notice.

Scheduled maintenance will be announced when possible. Emergency maintenance may occur without notice for security or stability.

5. Term and Termination

This EULA is effective from your first use until terminated. You may terminate at any time by closing your account. We may terminate for breach, non-payment, or at our discretion with 30 days notice.

Upon termination:

• Your license immediately ends
• You must cease all use of the Software
• Your store will be taken offline
• Data export provided (within reasonable time)
• Customer access to purchased products maintained (90 days)

6. Warranties and Disclaimers

Limited Warranty: The Software will perform substantially as described for 30 days from first use. Remedy: correction of defects or refund (our choice).

DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR SECURITY.

AI-Generated Content: No warranty of accuracy, quality, or originality. AI outputs may require human review.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETFORGE SHALL NOT BE LIABLE FOR:

• Indirect, consequential, incidental, or exemplary damages
• Lost profits, revenue, sales, or business opportunities
• Loss of data, information, or content
• Damage to reputation or goodwill
• Third-party claims arising from your use

Liability Cap: Our total liability shall not exceed fees paid in the 12 months preceding the claim (or $100 for free tier).

8. Export Compliance

The Software may be subject to export control laws (U.S. EAR, ITAR, EU regulations). You represent that:

• You are not in a restricted country
• You are not on any denied party list
• You will not export in violation of law
• You will not use for prohibited purposes (weapons, etc.)

9. Compliance with Laws

You agree to comply with all applicable laws including intellectual property, data protection, privacy, and tax laws.

We comply with DMCA, GDPR, CCPA, Philippine Data Privacy Act, PCI-DSS, and other applicable regulations.

10. Dispute Resolution

Disputes shall be resolved through binding arbitration. You agree to resolve disputes individually and waive any right to participate in class actions.
